Our subsidiary Cálidda is a Peruvian natural gas distribution company that owns the concession to operate in Lima and Callao provinces. Cálidda has a 33-year Build, Own, Operate and Transfer (BOOT) concession agreement with the Peruvian Ministry of Mines and Energy, which was assigned to Cálidda in 2002 and is extendable for up to 60 years. The distribution concession includes the construction, operation and maintenance of a natural gas distribution network. The network must meet minimum capacity requirements and connect certain customers across Lima that have already applied for gas supply contracts. In addition, Cálidda is further obligated to build a secondary grid able to connect 30,000 and 70,000 customers in the fourth (2008) and sixth (2010) year of commercial operations, respectively. In 2004, Cálidda entered into a five-year agreement with an affiliate of Grupo Pluspetrol, which operates the Camisea gas field in Peru, for the supply of natural gas. This agreement can automatically be renewed for a two-year period. In August 2004, Cálidda entered into a one-year agreement with Transportadora de Gas del Peru for the transport of natural gas which can be automatically renewed every year up to four consecutive years. Cálidda's customers fall into two categories: non-regulated customers (users that consume more than 1 mmcfd) and regulated customers (predominantly residential and small commercial users). Cálidda's pipelines consisted of a 20 inch main trunkline and six inch lines to clusters connecting industrial clients and nearby residential and commercial clients.
